Terms of use

These terms govern the use of Termik: the desktop application, the website, the customer portal and the services that verify licenses (together, the Services). They are offered by [to be defined: RAZAO_SOCIAL], registered under CNPJ [to be defined: CNPJ], headquartered at [to be defined: ENDERECO] ("we").

By creating an account, activating the application, starting the free trial or purchasing a subscription, you agree to these terms, to the Privacy policy, to the End-user license agreement (EULA) and to the Refund policy. If you purchase on behalf of a company, you represent that you are authorized to do so.

1. Definitions

• Application: Termik installed on your computer.
• Subscription: the paid agreement that grants the right to use the Application for a period.
• License: the record, on our servers, of your subscription: plan, number of seats and validity.
• Seat: a place for one person to use the Application on one computer.
• Activation key: the personal code, linked to an e-mail address, used to activate the Application.
• Portal: the signed-in area where you see licenses, keys, computers and, on the Team plan, the team.

2. Account and access

1. You sign in to the Portal with a code sent to your e-mail and, if you enable it, with a code from your authenticator app (two-step verification).
2. You are responsible for keeping your e-mail and your authenticator secure. Whoever controls a key's e-mail can activate it.
3. Tell us right away at [to be defined: EMAIL_CONTATO] if you suspect misuse of your account or keys.

3. Plans and subscription

1. Individual (1 seat), Trio (3 seats) and Team (4 seats or more) include every feature of the Application. They differ in the number of people and, on Team, the team panel.
2. Prices, currency and billing period are those shown on the website or in the commercial proposal at the time of purchase.
3. The subscription is valid for the purchased period. Canceling stops renewal: the license remains valid until the end of the period already paid.
4. Without payment, the license is not renewed. At the end of the period, the Application enters restricted mode (section 7).
5. We may change prices for future renewals, with at least 30 days' notice by e-mail. Changes do not affect the period already paid.

4. Free trial

1. The free trial starts the first time you open the Application and lasts 7 days, includes every feature and requires neither a credit card nor an e-mail address.
2. By entering and confirming an e-mail address, you may extend the trial once, up to a total of 30 days counted from the first opening. The extension may be requested until the end of those 30 days.
3. One trial per computer is allowed, and each e-mail address extends only one trial. Attempts to obtain new trials (for example, with disposable e-mail addresses) may be refused.
4. When the trial ends, the Application enters restricted mode until a key is activated.

5. License usage rules

1. Each seat is for one person on one computer at a time. Each key is personal and linked to an e-mail address.
2. Activating a key on another computer requires a code sent to its e-mail and deactivates the previous computer. Up to 5 computer changes every 30 days are allowed per seat; support may grant extra changes in justified cases.
3. Sharing keys, rotating a seat between people, bypassing the license check or using the Application beyond the number of purchased seats is prohibited.
4. We may suspend or revoke seats used in breach of these rules, after attempting to contact you whenever possible.

6. Teams (Team plan)

1. The team owner and the admins they appoint can invite, remove and reassign members and deactivate the team's computers.
2. When a member is removed, their key is revoked. Their local data is not deleted from their computer.
3. The purchasing company is responsible for who it adds to the team and for how those people use the Application.

7. Offline use and restricted mode

1. The Application checks the license on your computer and renews it periodically with our servers. Without a connection, it works for up to 14 days.
2. With an expired, canceled or revoked license, the Application enters restricted mode: you can still open the vault and view, copy and export your data, but you cannot connect, run or edit.
3. A transferred key or a removed seat stops working at the old computer's next renewal (within 12 hours if it is online) or at the end of the 14-day grace period.

8. Your data

1. Hosts, credentials, passwords, private keys, commands, queries and the vault stay only on your computer, encrypted with a key derived from your master password. We have no access to them.
2. We cannot recover your master password. Keep it safe and back up your data.
3. The data we process to provide the Services is described in the Privacy policy.

9. Acceptable use

You agree to use the Services lawfully and not to:

• access systems, servers or data without authorization from whoever controls them;
• use the Application to distribute malware, carry out attacks or infringe the rights of others;
• try to access other customers' accounts, keys or data;
• overload, test without authorization or interfere with the operation of our servers.

10. Availability and support

1. We make reasonable efforts to keep the Services available, but they may be interrupted for maintenance or by failures. The 14-day grace period exists so that short interruptions don't prevent you from using the Application.

11. Intellectual property

The Application, the website, the trademarks and Termik materials are protected by law and belong to us or our licensors. The subscription grants a right of use under the EULA, without transferring any ownership.

12. Liability

1. The Services are provided as is. You are responsible for the commands you run and the changes you make to the systems you connect to.
2. To the extent permitted by law, we are not liable for indirect damages, lost profits or data loss resulting from improper use, lack of backups or loss of the master password.
3. Nothing in these terms limits rights granted to you by the Brazilian Consumer Protection Code, where applicable.

13. Suspension and termination

We may suspend or terminate access for anyone who breaches these terms. You may cancel your subscription at any time through support. In any case, your local data remains accessible in restricted mode.

14. Changes to these terms

We may update these terms. Material changes will be announced by e-mail at least 30 days in advance. The current version is always on this page.

15. Governing law and jurisdiction

These terms are governed by the laws of the Federative Republic of Brazil. The courts of [to be defined: FORO] are chosen, without prejudice to the consumer's right to file suit in the courts of their domicile.
